The following eDirectory Real Estate Terms of Service ("TOS") regulate the legal relationship between eDirectory Real Estate and all Members ("Members" and the term "a Member" or 'the Member" shall be construed accordingly) of internet eDirectoryRealEstate.com Service ("Service") and supersedes all prior agreements between the parties regarding the subject matter contained herein. By creating an account (as defined below) you become a Member (either on behalf of yourself as an individual or on behalf of an entity as its authorized representative) agree to all of the Terms of Service and become a eDirectoryRealEstate.com Service Member. If you do not agree with all of the Terms of Service, click on the "do not accept" button and / or do not create an account. Scope of the term "Content" = "digital Content" = data, text, news, articles, software, music, sound, photographs, graphics, video, messages or other materials.

Modifications to Terms of Service

eDirectory Real Estate may amend the TOS from time to time in the future.
eDirectory Real Estate reserves the right to update and change the TOS without notice or acceptance by the Member. You can monitor the most current version of the TOS at any time at : http://www.eDirectoryRealEstate.com/privacy/tos.html. Related to major amendments in the TOS, eDirectory Real Estate will notify the Members by posting the amendments as a start-up screen prior to the following use of the Service. If you do not click the "I accept" button or do not create an account, you may terminate your use of the Service at that time. We suggest you regularly monitor the TOS.

Description of the Service ("Service")

eDirectory Real Estate is providing the Members an internet Service on which they can create and manage Listings with many publishing and community Services. Some of these Services will be free of charge, others may cost money or have other requirements depending on the level of Service the Member has chosen. eDirectory Real Estate may put any type of advertisement on Members' Listings without reference to the Member. The Service includes communications from eDirectory Real Estate such as administrative messages, service newsletter and the Member will not be able to opt out of receiving them. This eDirectory Real Estate Service permits RSS aggregators to copy, distribute, and display any content on your Listings that you syndicate. All content on your Listings is syndicated for RSS, although you may change this setting in your dashboard.

Members may be informed of the opportunity to enter into agreements with third parties. eDirectory Real Estate is not liable in relation to, and takes no responsibility for, any contract entered into by Members with any third party.

Prerequisites of Use

They are some prerequisite to the use of the eDirectory Real Estate Service. The eDirectory Real Estate Service back office and Services may only be used by registered Members. You are a Member when you have clicked on the "do accept" button and so accepted the TOS, completed the registration form with complete and correct information and so created an account and been subsequently accepted by eDirectory Real Estate. If the information provided by a Member is suspected with reasonable ground by eDirectory Real Estate to be untrue, inaccurate, not current or incomplete, eDirectory Real Estate retains the right to close the Member's account and block any new use of the eDirectoryRealEstate.com Service by the Member. The Member email account must be always contactable and be acceptable to eDirectory Real Estate. eDirectory Real Estate will not answer any Member's instruction unless they are sent from the registered account email. A Member must be 18 years old or over. eDirectory Real Estate retains the right to refuse a registration without giving reason. Members assert that they exit from their account at the end of each session. Members have to provide all equipment necessary to establish a connection to the World Wide Web, including a computer and modem or other access device, for own access to the World Wide Web and may pay fees associated with such access.

In general, Members may post content freely to your Listings and to those of others hosted at eDirectoryRealEstate.com, so long as the content is not illegal, obscene, defamatory, threatening, infringing of intellectual property rights, invasive of privacy or otherwise injurious or objectionable. All content posted must be original and owned by you, or protected by fair use.

Members agree not to access the eDirectoryRealEstate.com Service by any means other than through the Member's eDirectoryRealEstate.com Service interface.

Service Modifications

eDirectory Real Estate retains the right to modify or discontinue the eDirectoryRealEstate.com Service with or without notice to the Member.

Privacy Policy

Each Member is responsible for maintaining the confidentiality of the password and account it shall receive after completing the registration form, and is fully responsible for all activities that occur under its password or account. The Member may change its password at any time on the eDirectoryRealEstate.com Service. All information, text, images, graphics or multimedia files entered into eDirectoryRealEstate.com by the Member is private to the Member except to the extent that it opts to share that information with other Members, people and / or the public.

Members warrant to eDirectory Real Estate that they have the rights to display the Content that is placed on Listings and / or the eDirectoryRealEstate.com Service . eDirectory Real Estate policy aims at respecting the Members privacy. Each Member can access to all of its personal information and can modify them.

eDirectory Real Estate will not disclose to any third party Member's name or contact information without informing the Member. eDirectory Real Estate and its partners firms observe the data protection regulations.

Member Account, Password and Security

The Member of the Service, shall receive a validation via email, and an account. The Member entirely responsible if do not maintain the confidentiality password and account. Furthermore, the Member entirely responsible for any and all activities which occur under your account. The Member may change password at any time (to do so, go to the CP (Control Panel), may also set up a new account, but it is highly recommended that you utilize your original one.

Member agrees to immediately notify eDirectory Real Estate of any unauthorized use of Member's account or any other breach of security known to Member.

Spam.

We don't like spam, not even the kind in a can. We define spam as posting content which provides little to no value for your visitors, with the sole purpose of increasing a another site's link popularity or search engine rankings. Automated posting of regurgitated, link-filled gibberish is especially annoying. Rest assured if your Listings is created for the sole purpose of spamming, it will be flagged and removed.

Copyright and Title

Member acknowledges that content, including but not limited to text, software, music, sound, photographs, video, graphics or other material contained in either sponsor advertisements or email-distributed, commercially produced information presented to Member by the Service ("Content") by eDirectory Real Estate or eDirectory Real Estate Advertisers, is protected by copyrights, trademarks, service marks, patents or other proprietary rights and laws; therefore, Member is only permitted to use this Content as expressly authorized by the Service or the Advertiser. Member may not copy, reproduce, distribute, or create derivative works from this Content without expressly being authorized to do so by the Service or the Advertiser.

The eDirectoryRealEstate.com Service is based on and powered by a commercial software. The Member acknowledges that the Listings and the eDirectoryRealEstate.com Service contain advertisements or information which may also be protected by copyright, trade mark registrations, patents or other proprietary rights and laws.

Copyright Infringement

If you believe that any of the postings or content of eDirectory Real Estate has been used in any way that constitutes copyright infringement, or if your intellectual property rights have been otherwise violated, please notify eDirectory Real Estate immediately through Contact form.

Please provide the following information:

- Your identity, address, telephone number and e-mail address;
- The identity of the copyright owner;
- A description of the copyright violation;
- The URL or other detail that allows us to locate the infringing content on the Site;
- A signed statement declaring under penalty of perjury that
a) you are the owner of the copyright covering the infringing content or are authorized to act on behalf of the owner, and
b) that to the best of your knowledge the use of the copyrighted work has not been authorized by the copyright owner.

eDirectory Real Estate will follow the procedures in the Digital Millenium Copyright Act (DMCA) in removing the infringing posting.

Limited Warranty

DISCLAIMER OF WARRANTIES MEMBER EXPRESSLY AGREES THAT USE OF THE SERVICE IS AT MEMBER'S SOLE RISK. THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.

eDirector yReal Estate EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.

eDirectory Real Estate MAKES NO WARRANTY THAT THE SERVICE WILL MEET YOUR REQUIREMENTS, OR THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR FREE; NOR DOES MAKE ANY WARRANTY AS TO THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICE OR AS TO THE ACCURACY OR RELIABILITY OF ANY INFORMATION OBTAINED THROUGH THE SERVICE OR THAT DEFECTS IN THE SOFTWARE WILL BE CORRECTED.

MEMBER UNDERSTANDS AND AGREES THAT ANY MATERIAL AND/OR DATA DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE USE OF THE SERVICE IS DONE AT MEMBER'S OWN DISCRETION AND RISK AND THAT MEMBER WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO MEMBER'S COMPUTER SYSTEM OR LOSS OF DATA THAT RESULTS FROM THE DOWNLOAD OF SUCH MATERIAL AND/OR DATA.

eDirectory Real Estate MAKES NO WARRANTY REGARDING ANY GOODS OR SERVICES PURCHASED OR OBTAINED THROUGH THE SERVICE OR ANY TRANSACTIONS ENTERED INTO THROUGH THE SERVICE.

NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY MEMBER FROM OR THROUGH THE SERVICE SHALL CREATE ANY WARRANTY NOT EXPRESSLY MADE HEREIN.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.

9. LIMITATION OF LIABILITY eDirectory Real Estate SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES, RESULTING FROM THE USE OR THE INABILITY TO USE THE SERVICE OR FOR COST OF PROCUREMENT OF SUBSTITUTE GOODS AND SERVICES OR RESULTING FROM ANY GOODS OR SERVICES PURCHASE OR OBTAINED OR MESSAGES RECEIVED OR TRANSACTIONS ENTERED INTO THROUGH THE SERVICE OR RESULTING FROM UNAUTHORIZED ACCESS TO OR ALTERATION OF MEMBER'S TRANSMISSIONS OR DATA, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, USE, DATA OR OTHER INTANGIBLE, EVEN IF HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

Termination of contract

The legal relationship between eDirectory Real Estate and the Member shall terminate automatically if the Member fails to comply with the limitations described in the TOS. No notice shall be required from eDirectory Real Estate to effectuate such termination.

The Member will no longer access its Listings and all the Member's information and Contents contained therein may be deleted by eDirectory Real Estate. In case of the Member's cancellation, the cancellation will take effect immediately. The Member will no longer access its Listings and all Member information and Contents contained therein may be deleted by eDirectory Real Estate.

Miscellaneous

eDirectory Real Estate, eDirectoryRealEstate, eDirectoryRealEstate.com, the eDirectory Real Estate logo and other version of eDirectory Real Estate graphics, logos, page headers, button icons, scripts, and service names are trademarks, certification marks, service marks, or other trade dress of eDirectory Real Estate or its subsidiaries. eDirectory Real Estate trademarks, certification marks, service marks, and trade dress have inherent meaning and substantial value because of their restricted use. They may not be used in connection with any product or service that is not eDirectory Real Estate, in any manner without eDirectory Real Estate permission. Any use made of these marks may be infringement of rights.

If any of the TOS should be determined to be illegal, invalid or otherwise unenforceable, the term or terms in question shall be severed and deleted from the TOS and the remaining terms shall survive, remain in full force and effect and continue to be binding and enforceable.
These TOS will be governed by the laws of USA.
